Speedcube NZ - Custom Corporate Order Terms & Conditions

Version 1.0 - Effective 3 October 2026


These terms apply to custom corporate and promotional cube orders where the customer is acquiring the goods in trade. They do not apply to ordinary retail consumer purchases.


1. Quotes and orders


• Custom orders have a minimum quantity of 250 units, unless Speedcube NZ agrees otherwise in writing.

• Quotes are valid for 14 days from the date issued, unless otherwise stated.

• Pricing is based on the specifications, quantities, artwork and costs known when the quote is prepared. Pricing may be revised after the quote expires.

• An order is accepted when the customer accepts the quotation and Speedcube NZ subsequently confirms the order.


2. Payment


• Samples must be paid for in full before Speedcube NZ places the sample order.

• Production orders must be paid for in full before Speedcube NZ places the manufacturing order.

• Standard custom orders are not offered on credit or part-payment terms.

• Speedcube NZ may, at its discretion, agree different payment terms with an established repeat customer with a satisfactory payment history.


3. Custom samples


Custom samples are available for $110 + GST, including delivery, unless otherwise quoted.


• The sample fee covers one custom sample based on the artwork and specification supplied by the customer.

• One approved sample may be credited against a subsequent production order for the same project.

• Additional samples are charged separately and do not accumulate as additional credit against a production order.

• If the customer decides not to proceed with production, the sample fee is not refundable, subject to any rights that cannot legally be excluded or limited.

• If Speedcube NZ or its manufacturing supplier produces a sample incorrectly compared with the approved specification, Speedcube NZ will work with the customer to correct the issue.


4. Artwork and approval


• The customer is responsible for providing final artwork and ensuring that all logos, text, colours and other supplied material are correct.

• Speedcube NZ may provide reasonable guidance on artwork placement, colour combinations and technical suitability for a puzzle cube.

• Full graphic design services are not included unless separately agreed.

• Before production begins, Speedcube NZ will provide the final artwork and/or specification for written customer approval.

• Customer approval confirms acceptance of the artwork, colours, logos, text, quantity and other agreed specifications.

• Changes requested after approval may incur additional costs and may not be possible once manufacturing has commenced.


5. Customer artwork and intellectual property


The customer confirms that it has the necessary rights and permissions to use all artwork, logos, trademarks, images, text and other materials supplied to Speedcube NZ.


The customer is responsible for obtaining any permissions required from its own clients, brand owners or other rights holders.


6. Business-to-business contracting - Consumer Guarantees Act 1993


The customer confirms that it is acquiring the goods from Speedcube NZ in trade and that it is in trade.


To the extent permitted by section 43 of the Consumer Guarantees Act 1993, Speedcube NZ and the customer agree that the Consumer Guarantees Act 1993 does not apply to this agreement.


The customer acknowledges that it has been provided with these terms before accepting the quotation and has had the opportunity to ask questions or request changes to the terms before acceptance.


7. Production and quantity


Speedcube NZ will endeavour to supply the quantity specified in the customer's order.


If a manufacturing issue results in fewer units being supplied than ordered, Speedcube NZ will notify the customer and work with them on an appropriate resolution.


Manufacturing tolerances and reasonable production variations may apply. Where relevant, these will be assessed against the approved specification and the nature of the issue.


8. Quality and defects


Speedcube NZ will work with the customer to resolve genuine manufacturing defects or material failures to meet the approved specification.


Depending on the nature and extent of the issue, an appropriate remedy may include:


• replacement of affected products;

• reproduction of some or all of the order;

• a credit;

• a partial refund; or

• a full refund where appropriate.


A customer's change of mind or dissatisfaction with artwork that was correctly produced in accordance with the approved specification does not, by itself, constitute a manufacturing defect.


Customers should inspect their order promptly after delivery and notify Speedcube NZ of any obvious shortage, damage, defect or material discrepancy within 7 days of delivery. This 7-day notification period is an operational reporting requirement only and does not limit any right or remedy that cannot legally be excluded or limited.


9. Cancellation


A customer may request cancellation before Speedcube NZ has committed payment to the manufacturer.


Where cancellation is possible, any non-refundable costs already incurred by Speedcube NZ may be deducted from the amount returned to the customer.


Once Speedcube NZ has committed the customer's payment to custom manufacturing, the customer cannot cancel the order simply because they have changed their mind. This is because the goods are made specifically for the customer and may not be capable of resale or cancellation with the manufacturer.


This does not affect any rights or remedies that cannot legally be excluded or limited.


10. Production and delivery times


Any production or delivery timeframe provided by Speedcube NZ is an estimate unless Speedcube NZ expressly confirms a date as guaranteed in writing.


Estimated timeframes depend on the customer providing artwork, information, approvals and payments promptly. Delays caused by customer actions or delays may affect the expected delivery date.


The customer is responsible for providing an accurate delivery address and any necessary delivery instructions.


Speedcube NZ is not automatically responsible for delays caused by circumstances outside its reasonable control, including manufacturing delays, freight disruption, customs clearance, carrier delays, natural events or other circumstances beyond its reasonable control.


11. Changes and additional costs


The quoted price applies to the agreed specifications.


Customer-requested changes or additional requirements may incur additional costs. Speedcube NZ will discuss these costs with the customer and obtain approval before proceeding.


Speedcube NZ will not retrospectively charge the customer for costs arising solely from Speedcube NZ's own quoting or ordering error.


If an unforeseen third-party cost arises that could not reasonably have been known when the quote was prepared, Speedcube NZ will discuss the cost with the customer before committing to it.


12. Marketing and portfolio use


Unless otherwise agreed in writing, the customer agrees that Speedcube NZ may photograph and showcase completed custom products and identify the customer and project in:


• Speedcube NZ's website;

• portfolio and case studies;

• social media;

• marketing materials; and

• other promotional activity.


Speedcube NZ may also use customer feedback or testimonials provided by the customer or an authorised representative in connection with a project for marketing purposes, provided the meaning is not materially altered. Speedcube NZ will not publish personal contact information without permission.


If a project is confidential or subject to restrictions on publicity, the customer must notify Speedcube NZ in writing before production so that appropriate arrangements can be made.


13. Force majeure


Speedcube NZ is not responsible for delays or failure to perform caused by circumstances beyond its reasonable control.


These may include natural disasters, war, pandemics, government restrictions, major freight or shipping disruption, port closures, customs disruption or other events that could not reasonably have been prevented or anticipated.


This does not relieve Speedcube NZ of responsibility for matters within its reasonable control.


14. Liability


To the extent permitted by law, Speedcube NZ does not accept responsibility for indirect or consequential losses where those losses arise from circumstances outside Speedcube NZ's reasonable control, customer error, or the acts or omissions of third parties that Speedcube NZ does not control.


Nothing in these terms excludes or limits liability that cannot legally be excluded or limited under New Zealand law.


15. Governing law


These terms are governed by the laws of New Zealand.


Any disputes will be subject to the jurisdiction of the New Zealand courts.


Acceptance


These terms form part of the quotation and order process for custom corporate orders. By accepting a quotation that incorporates these terms, the customer confirms that it has read and agrees to these terms, including the business-to-business contracting provision in section 6.
